Effective Date: 2025

This Restaurant Partner Agreement (“Agreement”) governs participation on LocalCateringMenu.com, a platform operated by Amorae Delights LLC.

By submitting your information, joining the platform, or accepting catering opportunities, you acknowledge and agree to the terms outlined below.

1. PLATFORM RELATIONSHIP

LocalCateringMenu.com is a marketplace that connects customers with independent food vendors.

Partner acknowledges:

- They are an independent business

- They are not an employee, agent, or partner of Amorae Delights LLC

- The Company does not control food preparation or operations

2. SERVICES PROVIDED

The Company provides:

- Marketing exposure

- Catering request distribution

- Customer connection services

- Optional inclusion in promotional features

The Company does NOT:

- Prepare food

- Guarantee order volume

- Guarantee placement or visibility

3. ORDER ACCEPTANCE

All catering requests, including “name your own price” offers:

- Are optional for Partner to accept or decline

- Are not guaranteed

- May be sent to multiple vendors

Partner is solely responsible for:

- Accepting or rejecting requests

- Pricing decisions

- Communication with customers (if applicable)

4. FEES & PAYMENTS

The Company may charge:

- Monthly membership fees

- Promotional placement fees

- Lead or referral fees (if applicable)

All fees are non-refundable unless otherwise stated.

5. PARTNER RESPONSIBILITIES

Partner agrees to:

- Maintain all required licenses and permits

- Follow all health and safety regulations

- Provide accurate menu and pricing information

- Deliver quality service to customers

6. LIABILITY DISCLAIMER

Amorae Delights LLC is NOT responsible for:

- Food quality or safety

- Preparation or handling of food

- Delivery or service issues

- Customer disputes

Partner assumes full responsibility for all food-related services.

7. INDEMNIFICATION

Partner agrees to indemnify and hold harmless Amorae Delights LLC from any claims, damages, or liabilities arising from:

- Food service

- Customer complaints

- Business operations

8. INTELLECTUAL PROPERTY

Partner agrees NOT to:

- Copy, replicate, or recreate the platform model

- Use Company workflows, systems, or concepts outside the platform

- Reproduce the “name your own price” or matching system

All systems, processes, branding, and concepts are the exclusive property of Amorae Delights LLC.

Partner further agrees not to use insights, data, or experience gained from participation on the platform to compete directly with or replicate the business model of LocalCateringMenu.com.

9. TERMINATION

The Company reserves the right to:

- Remove any Partner at any time

- Suspend access for violations

- Modify or discontinue services

10. NO GUARANTEES

The Company does not guarantee:

- Sales volume

- Catering requests

- Business growth

11. GOVERNING LAW

This Agreement is governed by the laws of the State of Texas.

12. ACCEPTANCE

By submitting your information, joining the platform, or participating in services, Partner agrees to this Agreement.

By participating on this platform, you acknowledge that you have read, understood, and agreed to all terms outlined in this Agreement.
